Client-base: Growth by Acquisitions and Partnerships

Unibanco's client-base reached 18.2 million from 800,000 in the last 10 years, propelled by the success of a deliberate strategy of seeking the right acquisitions and partnerships at the appropriate time. Some examples are:

Banco Nacional
Unibanco in 1995 acquired Banco Nacional, gaining access to a network of 1,446 banking centers in the country, about 2.1 milion clients and 1.4 million credit card clients, in what amounted to a be a landmark change in scale.

Banco Bandeirantes
With the acquisition, in 2000, of Banco Bandeirantes, Unibanco expanded its client-base by some 22%, with 700,000 new retail clients. The deal also bolstered Unibanco's share in strategic markets, such as São Paulo and the northeast of the country.

Fininvest
Also in 2000, Unibanco acquired the remaining 50% stake in Fininvest, adding another 3 million clients to its base and taking control of the country's leader in consumer credit. Currently Fininvest has 5 million clients, 253 stores, in addition to over 11,000 points-of-sale.

Ponto Frio/PontoCred
In August 2001, Unibanco entered into a joint-venture with Globex, owner of the Ponto Frio home appliance and electronics retail chain, present throughout the country. With this deal, the bank acquired 50% of PontoCred, Globex subsidiary in charge of extending credit to Ponto Frio customers. PontoCred distributes credit products in Ponto Frio's 339 stores, serving about 3.6 million clients.

Magazine Luiza/LuizaCred
A month later, in September 2001, Fininvest signed a joint-venture with Magazine Luiza, a prominent department store chain in São Paulo, Minas Gerais and southern Brazil, with 250 stores. The deal gave rise to a new company, LuizaCred, which provides financing to the chain's 1.4 million customers.

Creditec
Unibanco in November 2003 acquired Creditec, a consumer credit firm with a strong roster of the middle-class customers. Nine years old at the time of the transaction, Creditec had 600,000 active clients. By 3Q04, all of the former Creditec points-of-sale had already been converted into Fininvest stores.

HiperCard
March 2004 marked the acquisition of Hipercard, a credit card operator created in 1982 to extend private label credit services to Supermercados Bompreço. Over time, HiperCard also accredited more than 65,000 retailers in the Northeast. Today, it is the main form of payment tendered at Bompreço's chain of 118 supermarkets, and the top credit card flag in that Brazilian region.

BNL
Unibanco in June 2004 fully acquired Banco BNL do Brasil S.A., formerly controlled by Italy-based Banca Nazionale del Lavoro S.p.A (BNL). At the time, BNL held a R$698.5 million credit portfolio, 107,000 individual clients, 96,000 credit cards and 400 corporate clients. The transaction involved the transfer to BNL of 10 million Units, giving the Italian institution a direct and indirect 1.43% stake in Unibanco, subsequently sold through a public stock offer completed in January 2005 (additional information available in Corporate Governance and Stocks).

Sonae
Unibanco and Sonae in August 2004 formed a joint-venture to operate credit cards and financing for the grocery store chain customers. Sonae owns 148 hypermarkets and supermarkets in southern Brazil.
